Since 1940, Lojas Americanas S.A. (B3: LAME3, LAME4) has been publicly traded, currently is listed on B3 – Brasil, Bolsa e Balcão in Level I of differentiated level of Corporate Governance.
For the Company to be listed on Level I in B3, it is necessary to meets some requirements, among which the following stand out:
- Trading of common and preffered shares;
- 100% Tag Along concession for ON and PN shares;
- Minimun of 25% of Free Float;
- Prohibition against accumulating the positions of Chairman of the Board of Directors and Chief Executive Officer;
In addition to complying with Level I requirements, the Company has adopted initiatives aimed at the best corporate governance practices. The Company also has six active committees to advise the Board of Directors: Ame, Audit, Finance, People and Compensation, Digital and Sustainability Committees.
Americanas is managed by the Board of Directors, composed of a minimum of 3 (three) and a maximum of 10 (ten) members with a 2-year term, and the Executive Board, composed of a minimum of 2 and a maximum of 12 members with a 1-year term. The Annual General Meeting (AGO) is held annually, and when the shareholders’ opinion is necessary, the Extraordinary General Meeting (AGE) is called.
